Terms of service

These Terms of Service ("Terms") govern your access to and use of Centric ("Service"), a personal finance aggregation product operated by Luca Bottelli, based in Italy. By creating an account or otherwise using the Service, you agree to be bound by these Terms.

If you do not agree, please do not use the Service. We may update these Terms as the Service evolves; we'll communicate material changes by email and inside the app at least 14 days before they take effect.

You must be at least 18 years old and capable of forming a binding contract under Italian law to use Centric. By using the Service you confirm that the information you provide about yourself is accurate, and that you are using the Service for lawful, personal purposes (or, for business users, that you have authority to bind the entity you represent).

Centric is currently offered in beta. Features may change, be added, or be removed; the Service may experience downtime; and behavior may evolve quickly as we iterate. We will make reasonable efforts to maintain availability and protect your data, but during the beta the Service is provided "as is" without commercial-grade SLAs.

• You are responsible for safeguarding your password and any actions taken under your account.
• Notify us immediately at [email protected] if you suspect unauthorised access.
• Do not share your credentials. Two-factor authentication is required for administrator-level access.

You agree not to:

• Use the Service to violate any law or third-party right.
• Upload malware, attempt to bypass our security controls, or probe the system for vulnerabilities without prior written permission.
• Scrape, resell, or rent access to the Service.
• Use the Service to process data on behalf of others without entering into a separate written agreement with us.
• Interfere with another user's use of the Service.

Centric is a personal-finance data aggregator. We import, organise, and display financial information that you provide or that you authorise us to fetch on your behalf. That is the entirety of the Service.

Centric is not a bank, a payment institution, a broker, an investment adviser, a tax adviser, an accountant, a lawyer, an insurer, or any other regulated financial intermediary. We do not hold your money, execute transactions, place orders, file returns, or take any action with your financial accounts.

Nothing displayed by the Service constitutes financial, investment, tax, accounting, or legal advice, a recommendation, a solicitation, or an offer of any kind. Balances, categorisations, net-worth figures, runway estimates, forecasts, tax projections, scenario simulations, budget suggestions, alerts, and any other output of the Service are provided for informational and personal-organisation purposes only.

You are solely responsible for any decision you make on the basis of information shown in Centric. Before acting, you must independently verify the underlying figures with your bank, your accountant (commercialista), your tax adviser, your investment professional, or the relevant public authority. The Service is no substitute for professional advice tailored to your situation.

Centric uses automated parsers and AI/LLM-based extraction (currently including Anthropic Claude) to read documents you upload — payslips, invoices, tax forms (Modello 730, F24), dividend certificates, and similar — and to categorise transactions. These features are best-effort and may produce incomplete, inaccurate, or hallucinated output even when the source document is correct.

You acknowledge and agree that:

• All AI-extracted fields, tax breakdowns, projections, and suggestions must be reviewed and validated by you before you rely on them.
• Confidence scores, "needs review" flags, and similar signals are heuristics, not guarantees of correctness.
• We make no representation that AI outputs are accurate, complete, current, or fit for any particular purpose, including tax filing or regulatory reporting.
• We are not liable for any loss, mis-filing, penalty, or other harm arising from your reliance on an AI-generated output.

Centric displays data sourced from your inputs and from third parties (banks via open banking, market-data providers, public registries). We do not control, verify, or audit that data and we make no representation or warranty as to its accuracy, completeness, timeliness, currency-conversion accuracy, or availability. Data shown may be delayed, stale, missing, duplicated, or wrong. You are responsible for cross-checking against the authoritative source (your bank statement, your broker, the relevant authority) before relying on any figure for a real-world decision.

Centric integrates with third-party services — including open banking aggregators (Plaid), market-data providers, email delivery providers, hosting providers, and AI/LLM providers used for document parsing. Your use of those integrations is also subject to the applicable third party's terms. We are not responsible for the availability, accuracy, security, content, downtime, or acts or omissions of any third party, even where we have chosen them with reasonable care.

We take security seriously. We aim to operate the Service in line with industry-standard practices, including (among others) TLS in transit, encryption at rest (Fernet) for sensitive fields, Argon2 password hashing, CSRF protection, strict per-user ownership checks, two-factor authentication for administrator access, and an auditable security event log. GDPR-compliant data minimisation is part of how the Service is designed.

No online service can be made absolutely secure. We make no warranty that the Service will be free from vulnerabilities, breaches, unauthorised access, data loss, or interruptions. To the maximum extent permitted by law, you use the Service at your own risk and accept that you remain responsible for the security of your own devices, network, email account, and credentials.

During the beta the Service is free. When we launch paid plans, the pricing and cadence published on the pricing page will apply.

• Free trials convert to a paid subscription unless you cancel before the trial ends.
• Annual plans are billed up-front and are non-refundable once the period begins, except where required by law.
• You may cancel monthly subscriptions at any time; access continues until the end of the paid period.
• EU consumers retain their 14-day right of withdrawal under Italian Consumer Code (Codice del Consumo, D.Lgs. 206/2005), unless they expressly request immediate provision of the Service and waive that right at sign-up.

The Centric name, the product, the design and the underlying code are owned by Luca Bottelli and protected by Italian and EU intellectual-property law. You retain all rights to the financial data and documents you upload. By using the Service you grant us a limited, revocable licence to process that content solely to provide and improve the Service for you. We never sell your data or use it to train third-party models.

You can close your account at any time from the settings page. We may suspend or terminate accounts that violate these Terms, that pose a security risk, or that are inactive for an extended period — in which case we will notify you by email when reasonably possible.

On termination, we delete your personal and financial records within 30 days, except for the minimum legally-required records (e.g. billing invoices, retained for up to 10 years under Italian tax law).

To the maximum extent permitted by law, the Service is provided "as is" and "as available", with all faults and without warranty of any kind, whether express, implied, statutory, or otherwise. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, accuracy, completeness, title, quiet enjoyment, non-infringement, uninterrupted or error-free operation, freedom from harmful components, and any warranty arising out of any course of dealing or usage of trade. We do not warrant that defects will be corrected, that the Service will meet your requirements, or that any output of the Service is suitable for any specific purpose.

To the maximum extent permitted by law, in no event will Luca Bottelli, his agents, contractors, employees, or third-party providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; nor for any loss of profit, revenue, savings, business, opportunity, goodwill, data, investment return, anticipated tax position, or substitute services; nor for any harm arising from inaccurate data, AI-generated output, delays, downtime, third-party services, unauthorised access, or your reliance on anything displayed by the Service — even if we have been advised of the possibility of such damages and even if a stated remedy fails of its essential purpose.

In any case, and to the maximum extent permitted by law, our aggregate liability for all claims arising out of or related to the Service is limited to the lesser of (a) the amount you actually paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty euro (€50). For free users (including beta users), this cap is zero (€0).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law, including liability for gross negligence (colpa grave), wilful misconduct (dolo), death or personal injury caused by our negligence, or any non-waivable rights you have as a consumer under the Italian Consumer Code (D.Lgs. 206/2005) or other mandatory EU law. Where such mandatory law applies, the limitations above apply to the maximum extent permitted.

To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless Luca Bottelli and his agents, contractors, employees and providers from and against any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms or of any law; (c) any content or data you upload, submit, or process through the Service; (d) your reliance on any output of the Service, including AI-generated output; or (e) your infringement of any third-party right.

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil disorder, strikes, pandemics, government action, internet or telecommunications failures, third-party service outages, cyber-attacks, or power failures.

You acknowledge that personal-finance decisions involve risk, that financial data can be wrong or stale, that AI parsers can make mistakes, and that no software can replace professional judgement. By using the Service you accept those risks and agree that you, and not Centric, are responsible for any financial, tax, or legal outcome that follows from your decisions.

These Terms are governed by Italian law. Disputes will be brought before the courts of Milan, Italy, except where mandatory consumer-protection rules give you the right to bring proceedings before the courts of your place of residence.

EU consumers may also use the European Commission's Online Dispute Resolution platform.

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if that is not possible, severed; the remaining provisions will continue in full force and effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with our privacy policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject.
